The user hereby agrees that in the event of any dispute arising from the utilisation of this website in any manner, form or substance whatsoever, the relevant South African law will apply and the appropriate courts of South Africa will have jurisdiction.
1. Acceptance and Usage
These conditions become effective when you access the site for the first time and constitute a binding agreement between Eloquent Learning Health (“Eloquent Learning Health”, “we”, “us”, or “our”) and yourself (“you” or “User”), which will always prevail.
The current version of these conditions will govern our respective rights and obligations each time you access this site.
Eloquent Learning Health offers services such as educational training courses (classroom and online), workshops, seminars, conferences, consultations, knowledge share sessions, certification programmes and related services.
Your use of this website and Services is subject to the terms and conditions set out herein, including documents referred to in certain clauses.
By using this website or subscribing to any Services, you acknowledge that you have read these Terms of Use and agree to be bound by them.
When you subscribe to Services, you will be issued login credentials. Use of these credentials constitutes acceptance of these Terms and forms a binding agreement between you and Eloquent Learning Health.
Eloquent Learning Health’s online products and services (“Online Services”) are subject to procedures and approvals, which Eloquent Learning Health may reject at its sole discretion.
2. Interpretation of this Agreement
“Agreement” means these Terms of Use, together with the Privacy Policy and any additional terms imposed from time to time.
“Effective Date” means the date on which your subscription is activated.
“Fees” means charges imposed for provision of Services.
“Services” means any service offered by Eloquent Learning Health, including online courses, classroom training, certification programmes, consultations, knowledge-sharing services, and related offerings.
“Eloquent IP” means all intellectual property owned or controlled by Eloquent Learning Health, including but not limited to course content, certification frameworks, assessments, trademarks, methodologies, systems and platform materials.
3. Nature of Information on the Site
All information on this site is provided for informational purposes only and does not constitute an offer. It is an invitation to engage with Eloquent Learning Health.
4. Electronic Communications
By communicating with Eloquent Learning Health electronically, you consent to receiving communications electronically and agree that such communications satisfy any legal requirement that they be in writing.
5. INTELLECTUAL PROPERTY RIGHTS AND CONTENT PROTECTION
5.1 Ownership of Intellectual Property
All rights, title and interest in and to the Services, Website and all related content remain the exclusive property of Eloquent Learning Health.
This includes, without limitation:
All online course materials
Recorded lectures (live or pre-recorded)
Classroom training materials
Manuals, workbooks, slides, videos and audio
Clinical protocols and proprietary wound care methodologies
Certification frameworks and standards
Assessment tools and question banks
Examination content and marking rubrics
Course structures and sequencing
Platform architecture and LMS systems
Branding, trademarks, logos and trade names
Translations, adaptations and derivative versions
No ownership rights are transferred to you.
5.2 Limited License to Users
Upon payment of applicable Fees, you are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access course content strictly for:
Personal educational purposes
Individual professional development
Non-commercial application within your own clinical practice
This license does NOT permit:
Training others using the materials
Institutional use
Uploading to shared drives or internal LMS systems
Commercial exploitation
Group viewing
Content redistribution
Access is strictly limited to the registered individual user.
5.3 Strict Prohibition on Copying and Distribution
You agree that you shall NOT:
Record any session (audio or video)
Screenshot or screen-capture materials for distribution
Share login credentials
Upload content to file-sharing platforms or social media
Redistribute or resell materials
Create derivative works
Translate or adapt content for publication
Extract, scrape or reverse engineer assessment banks
Use AI tools to reproduce or replicate proprietary course content
Use Eloquent materials to create competing training programmes
Any unauthorised use constitutes a material breach of this Agreement.
5.4 Certification and Trademark Protection
All certifications, course titles, designations and branding remain protected intellectual property.
You may:
Reference certifications truthfully
Use credentials only while valid and in good standing
You may NOT:
Alter certificates
Misrepresent certification status
Continue using expired or revoked credentials
Issue certificates on behalf of Eloquent Learning Health
Eloquent Learning Health may revoke certification for ethical breaches, IP violations or misuse.
5.5 Institutional Use Restrictions
Individual enrolment does not grant institutional rights.
Hospitals, clinics, universities, NGOs or other organisations may not:
Use content for staff training
Upload materials internally
Deliver Eloquent content to groups
Institutional use requires a separate written agreement.
5.6 Monitoring and Enforcement
Eloquent Learning Health reserves the right to:
Monitor account access
Track IP addresses
Implement digital watermarking
Conduct forensic tracking
Audit suspicious activity
Access may be suspended pending investigation of suspected misuse.
5.7 Remedies and Liquidated Damages
Unauthorised use may cause irreparable harm.
Eloquent Learning Health shall be entitled to:
Immediate suspension or termination
Revocation of certification
Injunctive relief without proof of damages
Recovery of legal costs on an attorney-and-client scale
Liquidated damages equal to not less than five (5) times the applicable course fee per unauthorised user or instance of distribution
Additional claims for actual damages where applicable
These remedies are cumulative.
5.8 Survival
All intellectual property protections survive termination or expiry of access.
6. Online Course Enrolment and Access
Access to online courses is granted for a period generally limited to one (1) year from enrolment unless otherwise stated.
This access:
Applies to course content only
Does not guarantee instructor interaction
May be revoked for legal or policy reasons
Eloquent Learning Health reserves the right to disable access in the event of copyright complaints or policy violations.
7. Enrolment and Attendance of Classroom Courses
Participants must attend scheduled sessions and comply with cancellation policies.
Course materials remain Eloquent IP and are provided solely for personal educational use.
Unauthorised reproduction or distribution is strictly prohibited.
Eloquent Learning Health may take legal action for violations.
8. Limited License to General Website Users
The Website and its content may not be reproduced, duplicated, copied, resold or exploited for commercial purposes without prior written consent.
The User may not frame the Website or use framing technologies without consent.
Unauthorised use terminates this Agreement.
9. Use of Search Technology
The use of web crawlers or automated extraction tools is prohibited where such use infringes intellectual property or degrades site performance.
10. Information Feeds
Third-party information is provided “as is.” Eloquent Learning Health makes no warranties regarding accuracy and accepts no liability for reliance on such information.
11. Linked Third-Party Sites
Links to third-party websites do not constitute endorsement. Eloquent Learning Health is not responsible for third-party content.
12. Software and Technical Requirements
Users are responsible for maintaining compatible hardware and software.
No warranty is given that the Website is free from viruses or harmful components.
13. Refusal of Service
Eloquent Learning Health reserves the right to:
Refuse service
Terminate accounts
Remove content
Cancel enrolments
At its sole discretion.
14. Minors
Services are not offered to persons under 18 years of age.
15. Governing Law
This Agreement is governed by the laws of the Republic of South Africa, without reference to conflict of law provisions.

1.1 When you buy our products or services

We collect your information when you create an online profile. Some of the fields are mandatory. If you don’t complete all the required fields, you will not be able to create a profile. We will prompt you if this is the case.

- issue CPD certificates
- track your course purchasing history; and
- send marketing information if you asked us to.

You have to be older than 18 to use our services or products, and we will not knowingly collect the personal information of children without the consent of a parent or guardian.

6. Payment options accepted
Payment may be made via Visa or MasterCard or by bank transfer into the Eloquent Learning Health bank account, the details of which will be provided on request
6.1 Card acquiring and security
Card transactions will be acquired for Eloquent Learning Health via the InstaPay WebPay service provided by Omnea (Pty) Ltd who are the approved payment gateway for all South African Acquiring Banks. Omnea (Pty) Ltd uses PCI/DSS compliant services and no Card details are stored on the website. Users may go to www.omnea.co.za to view their security policy.
7. Changes to this policy
We may update this privacy policy from time to time to reflect changes in our practices or legal requirements. Any updates will be posted on our website, and we encourage you to review this policy periodically.
Eloquent Learning Health Academy (“Eloquent”, “we”, “our”, or “us”) is committed to delivering high-quality professional education and training programmes. This Cancellation, Refund & Transfer Policy sets out the terms under which cancellations, transfers, and refunds may be considered.
By enrolling in any course or service offered by Eloquent Learning Health, you acknowledge and agree to the terms outlined below.
1. Enrollment Confirmation
Upon enrollment in any Eloquent course or service, a confirmation email will be sent to the participant. This communication will include relevant course details such as dates, times, venue (if applicable), access information (for online learning), and other important instructions.
2. General Principles
2.1 Written Notice Requirement
All cancellations, refund requests, transfer requests, or substitutions must be submitted in writing to the Eloquent administration team at:

2.2 Effective Date of Cancellation
The effective date of cancellation is the date on which written notice is received by Eloquent.
2.3 Refund Method
Approved refunds will be processed via Electronic Funds Transfer (EFT) only, unless otherwise agreed in writing.
2.4 Administrative & Processing Fees
Administrative costs, payment gateway fees, and other non-recoverable charges already incurred by Eloquent may be deducted from any refund where applicable.
2.5 Refund Timeframe
Approved refunds will generally be processed within 7–14 business days. Banking and payment processing times are outside Eloquent’s control.
3. Online Courses (Self-Paced / Digital Learning / Online Services)
Due to the nature of digital content and immediate access to learning materials:
3.1 No Refunds After Access Granted
Once access to online course materials, digital content, or online services has been granted, cancellations and refunds are not permitted.
This applies regardless of whether the learner has:
Accessed the content,
Partially completed the course, or
Completed the course.
Online content is classified as a consumed digital service once access has been issued.
3.2 Exceptional Circumstances
At Eloquent’s sole discretion, a refund or partial credit may be considered in exceptional cases (e.g., proven technical inability to access the platform that cannot be resolved). Supporting documentation may be required.
3.3 Revocation of Access
In the event of cancellation (where applicable), access to online materials and resources will be revoked.
4. In-Person Courses, Workshops, Practical Sessions & Examinations
Eloquent incurs significant upfront costs for venues, facilitators, equipment, catering, accreditation requirements, and printed learning materials. The following conditions apply:
4.1 Cancellations 14 Calendar Days or More Before Course Start
Cancellations received 14 (fourteen) calendar days or more before the scheduled course start date:
A full refund will be issued
Less any non-recoverable administrative or payment processing fees
4.2 Cancellations Within 14 Calendar Days of Course Start
Cancellations received less than 14 calendar days prior to the course start date:
May incur a cancellation fee of up to 50% of the course fee
The remaining balance may be refunded
This reflects committed venue, facilitator, accreditation, preparation, and administrative costs.
4.3 Cancellations Within 7 Calendar Days of Course Start
Cancellations made within 7 calendar days of the course start date:
No refund will be issued
100% of the course fee is forfeited
4.4 Non-Attendance / No-Shows
Failure to attend a scheduled in-person course or session without prior written cancellation will result in:
Forfeiture of 100% of fees paid
No refunds or credits issued
5. Transfers and Substitutions
Where feasible, Eloquent may allow:
Transfer to a future course date; or
Nomination of a substitute participant
Requests must:
Be submitted in writing
Be made prior to course commencement
Comply with accreditation or regulatory requirements
Transfers are subject to availability and administrative approval.
A reasonable administrative fee may apply.
6. Course Postponement or Cancellation by Eloquent
Eloquent reserves the right to postpone, reschedule, or cancel a course due to unforeseen circumstances, including but not limited to:
Insufficient enrolments
Facilitator unavailability
Force majeure events
Logistical constraints
In such cases, participants will be offered:
A full refund; or
Transfer to an alternative course date
Eloquent shall not be liable for any indirect or consequential costs incurred by participants (including travel, accommodation, or loss of income).
7. Exceptions & Compassionate Consideration
Eloquent may consider exceptions to this policy in exceptional circumstances such as:
Medical emergencies
Serious personal hardship
Appropriate supporting documentation may be required.
All such decisions remain at Eloquent’s sole discretion.
8. Fair Use & Policy Application
Eloquent aims to apply this policy fairly, consistently, and transparently while ensuring the sustainability and quality of its training programmes.
We strongly encourage early communication should circumstances change, as this may allow for more flexible outcomes.
9. Policy Updates
Eloquent reserves the right to amend or update this Cancellation, Refund & Transfer Policy from time to time to reflect operational, legal, or regulatory changes.
The most current version will be published on our official website. Continued enrollment constitutes acceptance of the updated policy.
